Ruukki Group Oyj share issue in March 2006
We acted as legal advisor to Ruukki Group Oyj, quoted on List I at Helsinki Stock Exchange, in the share issue implemented by the company in March 2006, which was offered to the public and institutions as a tender offer implemented by auction. We assisted, inter alia, with planning and compiling the terms and conditions of the share issue, with the prospectus relating to the offer and associated research as well as with project planning and co-ordination.

Saunalahti Group Oyj public purchase offers in 2005
We acted as legal advisor to Saunalahti Group Oyj, quoted on the main list at Helsinki Stock Exchange, when Novator Finland Oy made a public purchase offer and Elisa Plc made a public share exchange offer for the company's shares in 2005. Our tasks included assisting with issues relating to notifications, and legal advice to the company management.

We acted previously as legal advisor to Saunalahti Group Oyj, at the time quoted on the NM list at Helsinki Stock Exchange, when the company applied for trading in its share to be transferred to the main list at Helsinki Stock Exchange. The transfer was carried out on 22 March 2005. We assisted with the planning of the project and with investigating the prerequisites for inclusion on the list, with the prospectus relating to the list transfer and with associated research, as well as with drawing up the requisite applications.

Puuharyhmä Oyj reform of group structure in the spring of 2005
We acted as legal advisor to Puuharyhmä Oyj, quoted on List I at Helsinki Stock Exchange, when the group incorporated the business operations of one of its amusement parks through a business transfer to a subsidiary. The business transfer was implemented in the spring of 2005. We assisted with, inter alia, planning the project and with charting the alternatives, with compiling the transfer documents and with making the related company law decisions and announcements.
