Mergers and Acquisitions
Changes in business life and tighter international competition both call
for arrangements in each sector. Companies’ activity has to be checked
and realigned regularly. This entails various transactions known as mergers
and acquisitions, in which companies’ operations are sold and bought and
changes are made to companies’ ownership relationships.
The growth in capital investment activity as well as international investment
activity have contributed to the increase in the number of acquisitions and
other sector arrangements. In Finland, acquisition activity has, since the
briefly quieter period in the early 2000s, clearly picked up. The number
of international cross-border acquisitions in particular has grown.
One of our core focuses has been on assisting with acquisitions and other
such transactions. We have been involved in significant mergers and
acquisitions, assisting one party to the transaction.
In acquisitions, the services we offer include:
- Legal due diligence (inspecting the object of sale)
- Assistance with sale negotiations
- Drawing up sale documents (including shareholders’ agreements)
- Dealing with permit matters relating to sale (including competition authorities’ permits)
- In the case of publicly quoted companies, drawing up of offers to redeem and other securities market documents
- Monitoring completion of sale
- Clarifying liability issues subsequent to sale
In mergers and acquisitions, time is often of the essence. In addition, they
call for expertise in numerous different fields of law. That is why we set up
various teams of our lawyers to manage acquisitions. The good framework and
procedures created for team work make for an efficient and expert service,
enabling us to implement even large acquisitions successfully.
